Prologis is seeking a Corporate Paralegal to join our Legal team in Denver, Colorado. This rolewill provide support to corporate counsel in corporate legal matters. Responsibilities include providing legal and administrative support to the corporate legal department with specific emphasis on corporate maintenance; contractual matters; providing assistance to attorneys handling mergers/acquisitions; preparing and maintaining corporate records; preparing documents to form; preparing information for board and shareholder meetings; assisting with SEC filings.
:Provide a high level of administrative general functions as required, specifically in the assistance in all stages of corporate transactions and in the preparation of documents necessary to comply with federal, state and local requirements in the conduct of business activities.
:Support all aspects of M and A transactions and other strategic corporate transactions, including due diligence, document preparation, closing mechanics and post:closing integration and administration.
:Take a lead role in the formation, qualification, maintenance and dissolution of corporate entities and associations, preparation of minutes and resolutions, and maintaining records of parent and subsidiary entities.
:Assist in ongoing securities laws compliance, including the preparation and filing of annual and quarterly SEC disclosure documents. Assist in the preparation of regulatory filings.
:Summarize material terms of contracts
:Provide assistance with certain tax filings.
:Assist with the preparation, review, edit and negotiation of legal documentation.
:Assist with preparation and distribution of materials for board of director and board committee meetings including meeting agendas and presentations.
:Assist with planning and preparation of shareholder meetings and related documents and filings including director and officer questionnaires.
:Contact regulatory bodies as needed to fulfill job assignments.
:Develop professional relationships with resources both within the Company and outside the Company to advance information gathering and research goals.
:General, legal and compliance research
:Assist in the gathering of various materials for responses to auditors' requests for information.
:Act as a liaison with designated outside counsel and their paralegal staff. Monitor hourly charges from outside counsel and level of outside counsel expertise on the project.
:Apply principles of records retention program in developing files and closing of a file.
:Other duties as assigned.
Essential Skills and Experience:
:A minimum of five 5yearsof corporate experience with a law firm or corporation.
:Must have strong PC skills with Microsoft Office (including Word, Excel, Access and Outlook) as well as the ability to learn and use proprietary computer systems and databases.
:Require solid experience with the formation, qualification, maintenance and dissolution of corporate entities and associations, preparation of minutes and resolutions, and maintaining records of parent and subsidiary entities.
:Experience supporting and closing transactions such as secured and bridge financings, public debt and equity offerings, and mergers and acquisitions.
:Exceptional interpersonal skills, a commitment to professionalism, integrity and collegiality, and the ability to work on a wide range of legal matters.
:Superior written and verbal communication skills required.
:Legal research knowledge and ability to use law library are required.
